1. Agreement to Terms

By accessing and using this website, you agree to be bound by these terms and conditions. If you do not agree with any part of these terms, you should not use our website or engage our services. These terms apply to all visitors, clients, and anyone who interacts with our digital platforms.

2. Services

We provide interior design consultation, concept development, material specification, project management, and related creative services. The specific scope, deliverables, timeline, and fees for each project are defined in a separate proposal or engagement letter provided before work begins.

All proposals are valid for 30 days from the date of issue unless otherwise stated. We reserve the right to adjust fees if the scope of work changes materially after a proposal has been accepted.

3. Intellectual Property

All design concepts, drawings, renders, mood boards, and creative materials produced by our studio remain our intellectual property until full payment has been received. Upon final payment, the client receives a license to use the designs for their intended purpose.

We retain the right to photograph, document, and publish completed projects in our portfolio, website, social media, and press submissions unless otherwise agreed in writing before the project begins.

Restrictions

Clients may not reproduce, redistribute, or sublicense our design materials without prior written consent. Design concepts presented during the proposal stage remain our property regardless of whether the project proceeds.

4. Payment Terms

Projects require a 50% deposit before work commences. The remaining balance is invoiced in stages as outlined in the project proposal. All invoices are due within 14 days of issue. Late payments may incur a fee of 2% per month on the outstanding balance.

Furniture, materials, and third-party contractor costs are billed separately and are not included in our design fees unless explicitly stated in the proposal.

Currency and Taxes

All fees are quoted in US Dollars (USD) unless otherwise specified. Prices are exclusive of applicable taxes, which will be added to invoices where required by law.

5. Project Timeline

Timelines provided in proposals are estimates based on the agreed scope of work. We make every effort to meet projected deadlines, but actual completion dates may vary due to factors including client feedback turnaround, material lead times, and third-party contractor availability.

Delays caused by the client, including late approvals, changes to the brief, or delayed access to the site, may result in adjusted timelines and additional fees.

6. Cancellation and Refunds

Either party may terminate an engagement with 14 days written notice. If the client cancels after work has commenced, fees for completed phases are non-refundable. Any unused portion of a deposit will be refunded within 30 days, minus costs already incurred for materials ordered or third-party services engaged.

7. Liability

We take every reasonable care to ensure the quality and accuracy of our work. However, we are not liable for delays caused by third-party suppliers, contractors, or circumstances beyond our control. Our total liability for any claim arising from our services shall not exceed the total fees paid for the relevant project phase.

Warranties

We do not provide warranties on materials, furniture, or products sourced through our studio. Manufacturer warranties apply directly between the client and the supplier.

8. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the course of the engagement. This includes design concepts, financial terms, and personal details. This obligation survives the termination of the engagement.

9. Website Content

All content on this website, including text, images, graphics, and design elements, is owned by our studio and protected by copyright. You may not reproduce, distribute, or use any content from this website without our prior written consent.

10. Governing Law

These terms are governed by and construed in accordance with the laws of the State of New York, United States. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts of New York.
